Legal Entity Names: The Most Critical Detail in Any Insurance Policy

Published on: October 26, 2026

In insurance placement, no detail is more critical—or more frequently overlooked—than ensuring the correct legal entity appears as a named insured on the policy. An incorrect or incomplete or inaccurate named insured could result in adverse cover outcomes.

What is a legal entity?

A legal entity may be defined as an individual, a company, or organisation recognised by law as having distinct legal rights, duties and responsibilities under a legal system, such as the ability to enter into contracts.

Why the Legal Entity Name Must Be Exact

An insurance policy is a contract. The contract can only respond to claims made by the legal entity named on the schedule or, in the case of a third party, claims made against the legal entity named on the schedule. That name must match official government records, including suffixes such as “Pty Ltd”.

A business or trading name is not a legal entity. Similarly, a trust is not a legal entity, only the trustee, whether an individual or company can be insured, and must be named as acting in that capacity.

When the named insured does not reflect the actual party that owns assets or undertakes business activities, coverage may fail at the very moment it is needed.

Consequences of an Incorrect Insured Name

  • Declined Claims: If a claim is made against a legal entity not listed on the policy, they may not be covered, and the policy may not respond to a claim.

  • Invalid Contract: A policy issued to a non‑legal entity—such as a trading name or trust name or an entity that is not a legal entity —may be considered unenforceable.

  • Loss of Asset Protection: If the named insured is incorrect (e.g., an individual instead of the trading company), personal or business assets may be exposed to liability.

Common Pitfalls

  • Using trading names instead of registered names
e.g., “Wilson Cakes” vs “Wilson Cakes Pty Ltd”.
  • Insuring a trust instead of the trustee
    e.g., “ABC Trust”.

Missing corporate suffixes

“Pty Ltd” or “Pty Limited” as indicated on ASIC records is part of the legal entity name and should be included in the description of the insured name together with the associated Australian Company Number (ACN).

  • Omitting related entities
Groups with multiple operating or holding entities may require each relevant legal entity to be named based upon the activities undertaken by each legal entity within the group.

Why ABN Lookup Is Not Sufficient

ABN Lookup often displays business names or trading names, which may not reflect the underlying legal entity. Verification should always include:

  • ASIC company searches

  • Trust deeds

  • Partnership or shareholder agreements

  • Registration certificates or constitutions

These documents assist in confirming exact legal entity that should be entering into the contract of insurance.

The Bottom Line

Specifying the legal entity to be insured is one of the most important professional obligations in modern insurance broking. Remember to use all available public information sources as well as partnership agreements and shareholder agreements, relevant registration certificates and trust deeds to assist in accurate and correct descriptions of the legal entities to be covered.
